Four steps to follow in order to practice within a partnership or a company

Step 1

Read the Guide on Practicing the Medical Professional within a Partnership or a Company, the Regulation respecting the practice of the medical profession within a partnership or a company, the Code of Ethics of Physicians, as well as section 187.11 and subsequent sections of the Professional Code, so as to know your legal obligations.

Step 2

Incorporate the partnership or company, following the procedures explained in the Guide on Practicing the Medical Professional within a Partnership or a Company and complete the required forms.

It is strongly recommended that you consult a professional (ex.: jurist) when incorporating a partnership or company. The forms indicated in the Guide are available on the Registraire des entreprises website (for a provincially-incorporated partnership or company) and on the Industry Canada website (for a federally-incorporated partnership or company). All partnerships or companies (incorporated provincially or federally or outside of Québec) must obtain a Québec enterprise number (NEQ) from the Registraire des entreprises.
 
Ensure that the conditions and requirements set forth in the Regulation respecting the practice of the medical profession within a partnership or a company are respected, as non-compliance with these conditions and requirements may lead to the immediate loss of the right to practice one’s profession in a partnership or a company.

Step 3

Complete the Declaration to authorize practice of the medical profession in a partnership or a company. Ensure that the information stated is exact, by consulting the articles of association of the joint-stock company or the contract creating the limited liability partnership.

Step 4

Send the following documents to the attention of the Assistant Secretary of the Collège:

1. Duly completed Declaration to authorize practice of the medical profession in a partnership or a company.

2. Written confirmation by a competent authority certifying that the company holds professional liability insurance coverage in accordance with Division III of the Regulation (umbrella liability insurance)

  • When the company is formed of one single physician-member of the CMPA, holding all of the stock or partnership shares, contact the CMPA. The CMPA will determine whether its general letter sent to the Collège is applicable according to its own criteria, such as the operation of a clinic or the employment of individuals qualified to provide services autonomously to patients. If the CMPA’s general letter sent to the Collège is applicable, it is then equivalent to the required insurance certificate and no document need be attached to the declaration.

  • When the company is not formed of one single physician-CMPA member holding all of the stock or partnership shares, contact the CMPA or the insurer or another competent authority so as to obtain written confirmation that the company holds professional liability insurance coverage in accordance with Division III of the Regulation (umbrella liability insurance). This written confirmation must then be attached to the declaration.

 3. Written confirmation by a competent authority certifying the existence of the company:

  • For a company or partnership incorporated in Québec, attach the original written confirmation or certificate issued by the Registraire des entreprises. This document must be specifically requested from the Registraire des enterprises.

  • When the company is not incorporated in Québec, attach the original written confirmation or certificate issued by the Registraire des entreprises, as well as the original written confirmation or certificate issued by Industry Canada or by a competent authority. These certificates must be specifically requested from these agencies.

4. Cheque made out to the Collège des médecins du Québec for the set fee payable on submission of the declaration, which is $150 per physician-member of the Collège who will practice within the company, for any declaration sent after August 12, 2011. The cheque may come from the physicians concerned by the application, the company, or any other third party.
